GENERAL CONDITIONS

These general conditions of use apply to the website http://www.oru.it (hereinafter the "General Conditions" and the "Site") owned by Le Officine Riunite - Udine S.p.A., with registered office in Via Santa Caterina 35, Basaldella di Campoformido, Italy (hereinafter "ORU"). Access to the site and any action involving navigation on its web pages constitute full acceptance of the General Conditions. In the event that the user does not intend to accept the General Conditions, it is sufficient that the user refrains from navigating on the web pages. ORU reserves the right to change, modify, add or remove clauses of these General Conditions at its own discretion and at any time, without prior notice to the user and without prejudice to the user's obligation to periodically review them, before accessing the Site content. The use of the Site following the posting of changes will constitute acceptance of such changes. Subject to compliance with these general conditions, ORU grants the user a personal, non-exclusive, non-transferable right to access and use the Site to the extent permitted by these General Conditions.

SITE CONTENT AND INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS

All text, graphics, films, photographs, trademarks, logos, databases, graphs, tables, sounds, music, illustrations and computer code, graphic representations and/or text in general, or other materials on the site (hereinafter, collectively, the "Content"), including, without limitation, the design, structure, selection, coordination, expression, appearance and arrangement of such Content, belong to or are at the disposal of ORU, and are protected by the laws on copyright, patents and trademarks, intellectual and industrial property and unfair competition. Except as expressly provided for in these General Conditions, or in the other conditions published on the Site, and in any case limited to the manner and terms expressly provided therein, it is prohibited to copy, reproduce, republish, upload, download, publish, publicly display, encode, translate, transmit or distribute the whole or any part of the Site and its Content on any computer, server, website or other medium intended for publication, distribution or any commercial purpose whatsoever, without ORU's prior written consent. 

USE OF THE SITE 

The user declares that they have the power and ability to adhere to these General Conditions, the terms for permission of use, and to other specific terms and conditions set forth on the Site. The user further declares, as needed, that they have reached the age required by law and necessary to use any services/features of the Site. The user agrees not to use any type of device or software to interfere or attempt to interfere with the proper working of the Site, or with the use of the Site by any third party. In particular, but without limiting intent, the user will not: (i) market, distribute, donate, assign, transfer, sell, sublicense, or otherwise transfer or grant rights in the Content to anyone, except as expressly permitted on the Site or by ORU's prior written permission; (ii) modify, permit or authorise modification of the Content and/or create or permit or authorise the creation of derivative works, translation, reverse engineering, decompiling, disassembling or hacking of any of the Content; (iii) export or re-export any of the Content; (iv) use the Site, or any of the Content, in any manner that would violate any applicable law, regulation or policy; (v) access or use the Site or any of the Content to create, develop, transmit or store any work, material or information that: (a) infringes any third party's intellectual/industrial property rights or other proprietary rights, (b) is offensive, defamatory, harmful or obscene, or (c) interferes with or disrupts the normal operation of the Site by any other person. Under no circumstances may Content be used in connection with any material that is pornographic, defamatory, obscene, fraudulent, libellous, unlawful, immoral or illegal, or that could cause discredit to ORU's good name and reputation. ORU's obligations, if any, with respect to its products and services are governed solely by the agreements pursuant to which such products and services are provided, and no part of this Site may be construed as a modification of such agreements. ORU reserves the right to change any products or services or Content mentioned on the Site, as well as the prices for such products and services and Content, at any time and without notice. Materials related to products or services posted on the Site may include incorrect, outdated and obsolete information; ORU is under no obligation to correct such materials and has no responsibility to do so.

ACCOUNT, PASSWORD AND SECURITY 

Certain features or services offered on or through the Site may require the opening of an account (including the creation of an ID and password). The user is solely responsible for maintaining the confidentiality of their account information, including the password, and for any activity originating from the account. The user must notify ORU of any unauthorised use of their password and/or account, as well as any other security risks, and ensure that they have logged out of their account at the end of each session. ORU will not be liable for any loss or damage that arises from failure to comply with any security measures on the part of the user.

PRIVACY

By using the Site, the user acknowledges and agrees that data transmissions by Internet are never completely confidential or secure and that ORU does not have an advanced data encryption system. The user acknowledges that any data or messages they send to the Site may be read or intercepted by third parties, even in the presence of a special notice that a particular transmission is encrypted.

LIMITed warranty

The Site, the Content published therein and any services offered therein (including notices and newsletters) are provided "as is", and ORU makes no representations or warranties, either express, implied or statutory, with respect to the Site, the Content, or the services published therein (including warranties of quality, non-infringement of third party rights, fitness for a particular purpose), nor shall there be any warranties arising from commercial or contractual practices or usages. In particular, ORU does not guarantee: (i) that the Site, the Content and/or the services published therein will always be available, accessible, uninterrupted, timely, secure, accurate, updated, complete, error-free, or that they will operate without loss of data; (ii) that the Site, the Content and/or the services published therein will meet the user’s requirements or correspond exactly to their needs. ORU does not guarantee any Internet connection or transmission. The user will be solely responsible for any loss of data or damage to their computer system that may result from any material downloaded or otherwise obtained through the use of the Site, Content and/or services published therein, which is at the user’s sole discretion and risk. Therefore, the user acknowledges and agrees that, to the fullest extent permitted by law, they bear the entire risk arising from their use of the Site, Content and/or services posted thereon. THE USER ASSUMES FULL RESPONSIBILITY FOR THEIR USE OF THE SITE AND ANY LINKED SITES. LIMITATIONS OF LIABILITY

APPLICABLE LAW AND EXCLUSIVE JURISDICTION

Any matter relating to access to or use of the Site, including any dispute, shall be governed by Italian law, without regard to its rules on conflict of law. Any disputes between the parties concerning the execution and/or interpretation of these General Conditions shall be the exclusive jurisdiction of the Court of Udine, Italy. ORU shall, however, have the right to refer the matter to the judge of the place where the user is domiciled.

ACCESS TO THE SITE FROM ABROAD

Anyone who accesses the Site from a country other than Italy is obliged to behave in full compliance with the General Conditions and the laws in force in Italy and expressly guarantees that they will not use the Site and the material contained therein in such a way as to violate the aforementioned laws. Any offer of features or services on the Site is void where prohibited by law. Access to the Site from locations outside of Italy is at the initiative of the user, who is solely responsible for compliance with applicable local laws.

MISCELLANEOUS

If any of the clauses of these General Conditions should be null or ineffective, the conditions shall continue to be fully effective for the part not affected by said clause, unless the nullity or ineffectiveness is an essential and determining reason for the termination of the General Conditions. In the case that ORU does not assert the rights recognised to it by one or more clauses of these General Conditions, at any time, this shall not be construed as a waiver of such rights nor shall it prevent ORU from subsequently demanding compliance with any and all contractual clauses. In compliance with the obligations arising from European Community legislation (European regulation 2016/679, GDPR and subsequent amendments), this site respects and protects the privacy of visitors and users, making every possible and proportionate effort not to infringe their rights.

The information described above is processed automatically and collected exclusively in aggregate and anonymised form, for verification of the proper function of the site and for security reasons. Such information will be processed in conformity with the legitimate interests of the data controller.

For security purposes (spam filters, firewalls, virus detection), automatically recorded data could also include personal data such as the IP address, which could be used in accordance with applicable laws for purposes of blocking attempts to damage the site or cause damage to other users or other harmful or criminal activities.
